1. Who you are contracting with

OAC Property Pal ("we", "us", "the Service") is operated by OAC Property Management ltd, a company registered in England and Wales ("the Company"). By creating an account or continuing to use the Service you agree to these terms. If you use the Service on behalf of a business, you confirm you have authority to bind that business; otherwise you confirm you are of legal age to enter into this agreement.

2. The Service

The Service is web-based software that lets landlords and property owners record properties, groups, tenancies, rent payments, costs, mortgage figures, documents and compliance task lists, and optionally share limited information with their tenants. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

3. Your account

You must provide accurate information and keep it up to date, keep your login credentials confidential, and you are responsible for activity carried out under your account, including by tenants you invite.

4. Acceptable use

You must not:

• use the Service for anything unlawful, fraudulent or misleading;
• send spam or upload malicious code;
• infringe anyone else's intellectual property or privacy rights;
• interfere with the security or integrity of the Service, including probing, scraping, reverse engineering or circumventing plan limits;
• resell or redistribute the Service without our written permission.

5. Your content

You keep ownership of the property, tenancy and document data you upload. You grant us a limited licence to host and process it solely to provide the Service to you. You are responsible for having the right to upload that data, including any tenant personal data.

6. Our intellectual property

We retain all rights in the Service, including its software, design, documentation and branding. Nothing in these terms transfers those rights to you.

7. Availability and no professional advice

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service is a record-keeping tool. It does not provide legal, tax, financial or compliance advice, and you remain responsible for meeting your legal obligations as a landlord, including checking dates, certificates and figures you record.

8. Payment, subscriptions and taxes

Plans are billed monthly or yearly in advance, and renew automatically until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Refunds are described in our refund policy.

9. Suspension and termination

We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may cancel at any time; access continues until the end of the paid period. After termination we allow a reasonable window to export your data before deletion.

10. Warranties and liability

To the fullest extent permitted by law we disclaim implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect or consequential loss, including lost profits, lost data or lost goodwill, and our total liability is limited to the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury where that cannot lawfully be excluded.

11. Indemnity

You indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

12. General

We may update these terms and will publish the revised version here. You may not assign this agreement without our consent; we may assign it as part of a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction.
